1. Acceptance of These Terms

By accessing or using the UC Drafter website (the “Site”) or installing and/or using the UC Drafter software and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Service.

2. Description of the Service

UC Drafter is a cross-platform desktop application delivered via an Electron/React client. Access to premium features requires an active paid subscription processed by our payment provider, Paddle.com Market Ltd. (“Paddle”).

3. Licence Grant

Subject to payment of all applicable fees, Inquisitive Owl Software grants you a non-exclusive, non-transferable, revocable licence to install and use one copy of UC Drafter per subscription seat for your internal purposes only.

4. Subscriptions, Billing & Renewal

  • Merchant of Record. All payments are handled by Paddle, who will appear on your statement. Paddle may collect and remit any applicable taxes on our behalf.

  • Billing Cycle. Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless cancelled.

  • Cancellation. You may cancel anytime through the in-app “Manage Subscription” link or by emailing dave@inquisitiveowl.ca . Access remains active until the end of the current paid term.

5. Acceptable Use

You agree not to: (a) reverse-engineer, decompile, or disassemble the software; (b) share licence keys; (c) use the Service to infringe third-party rights or applicable law; or (d) attempt to gain unauthorised access to our systems.

6. Intellectual Property

All content, source code, and trademarks are the property of Inquisitive Owl Software or its licensors. No rights are granted except as expressly stated in these Terms.

7. Third-Party Services

The Service may integrate with third-party APIs (e.g. Paddle, analytics). We are not responsible for the content or practices of those services.

8. Disclaimers & Limitation of Liability

The Service is provided “as-is” without warranties of any kind. To the maximum extent permitted by law, Inquisitive Owl Software shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.

9. Indemnification

You agree to indemnify and hold Inquisitive Owl Software, its directors, employees, and affiliates harmless from any claims or damages arising from your breach of these Terms or misuse of the Service.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario.

11. Changes to These Terms

We may modify these Terms at any time by posting the updated version on the Site. Material changes will be notified at least 30 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.
